INTRODUCTION

VIXSTORES is an e-commerce start-up company positioning itself to become the market leader in offering online merchants and consumers a uniform and trouble-free way to buy and sell around the Southern and Eastern Region of Nigeria and beyond. The company offers a business-to-business solution to online merchants for the marketing of physical/non-perishable products. The company utilizes a consolidation approach in handling all product returns that allows online merchants to instantly safe bad sales, restore customer satisfaction and stimulate repeat sales, while offering consumers a convenient, centralized online location to claim returns by creating a new service category and utilizing the first-mover advantage. VIXSTORES positions itself for rapid growth and gains a strong opportunity to raise entry barriers for possible competition. Our platform consists of a website and a mobile application market place with supporting logistics and secured payment modalities for the purchase and sales of (non-perishable) products.

These seller terms and conditions together with our general terms and conditions shall apply to all sellers on the marketplace.

By registering on our marketplace as a seller you agree to the following terms and conditions:

1. 1. That electronic signature shall be considered as an original signature/acceptance for all purposes as at when required by the laws of the territory.
   2. That you are prohibited from registering as a seller with our marketplace if you are an employee of Vixstores or a family member of an employee of Vixstores, except with prior approval from Vixstores. The said approval shall be pursuant to its conflict of interest protection procedures.
   3. That you accept these seller terms and conditions as well as the general terms and conditions.
   4. That you accept Vixstores codes, policies and guidelines, and as may be amended by us periodically upon which you may use the market place

THE SELLER STORES

1. 1. Upon registration with our marketplace as a seller you will be allotted a Micro-Site or portal to create a store on the marketplace.
   2. Vixstores reserves the right to at any and all time(s) review and/or scrutinize a Seller’s stores that has been submitted for approval. Approval is solely at Vixstores discretion and must be granted before stores are operational.
   3. You shall be solely and fully responsible for your store, listings, products and status updates.
   4. You are responsible for obtaining any licenses required for the sale of your products on the marketplace.
   5. You are to register with the relevant tax authorities and pay all relevant taxes in relation to your product sales to the extent required by the applicable Statutory Laws.
   6. You fully understand and agree that you can only open one Seller Centre account for a legitimate business purpose. You shall notify us if you or any person or entity related to you opens a Seller Centre that conflicts with your seller center objective.
   7. You are to conduct your business on the marketplace with caution, care and utmost good faith towards Vixstores and the Buyers/Customers in compliance with:
      i. Vixstores Partner Code of Conduct, and other Vixstores codes, policies and guidelines as may be published/updated on the marketplace from time to time.
      ii. In compliance with the ethical and best industry practices; and
      iii. In compliance with all applicable laws in force from time to time, including, without limitation (i) all Laws, Statutes, Regulations and other Enactments of the Territory (ii) the Nigerian Corrupt Practices Act; Nigerian Bribery Act; (iv) all other anti- bribery and corruption, anti- money laundering and anti- terrorism laws; (v) any trade or export sanctions or restrictions imposed by the Nigerian State, the Economic Community of West African States, the World Trade Organization and the United Nations.
   8. Without prejudice to our other rights, we reserve the right to reject, un-publish and/or delete any seller store that breaches these seller terms and conditionsas well as the general terms and conditions, or any Vixstores codes, policies and guidelines.

PRODUCT LISTINGS

1. 1. You will be responsible for listing your products on the marketplace by uploading to the Seller Centre a completed product page which shall include prices, detailed product description, specifications and images for each product.
   2. You will not publish more than one listing for a particular product.
   3. You agree to be solely responsible for all listings submitted to our marketplace and you agree that all listings:
      i. Comply with the content rules in the general terms and conditions and in the Content and Image Guidelines.
      ii. Include every necessary information, specifications and guidelines as may be required pursuant to all Statutory Laws and Regulations that ensures Consumer Protection.
      iii. Be within listings as outlined by products categories and rules set in our product guideline below.
      iv. At Vixstores discretion, may pass through a lead time required for quality control checks before publishing on the market place.

4. 4. Submitted listings may be individually reviewed and approved, at our discretion before being published on the marketplace.
   5. Without prejudice to our other rights, we reserve the right to reject, un-publish and/or delete any listings that breaches these seller terms and conditions as well as the general terms and conditions or any Vixstores codes, policies or guidelines.
   6. Though we may approve listings, you shall be fully responsible for same.
   7. We reserve the right to impose penalties and sanctions for breaches of the seller terms and conditions, the general terms and conditions and/or any of our codes, policies or guidelines.
   8. You are to constantly update your listings to reflect actual availability status; should products become unavailable (out of stock), you must deactivate such listings until they are available again.

THE PRODUCTS

1. 1. Only products that fall within the product categories may be subject to listing on our marketplace.
   2. products that breach any laws or regulations, or gives rise to a cause of action against any person, or infringes on any person’s intellectual property rights or other rights, in each case in any jurisdiction and under any applicable law must not advertised, bought, sold or supplied through our marketplace.
   3. Products must not consists or contain any such material that would contravene the rules on content in the general terms and conditions, if published on our marketplace by you.
   4. No product shall relate to: drugs, narcotics, steroids or controlled substances; pornography; obscene, indecent or sexually explicit materials; swords, firearms or other weapons; ammunition for any weapon; or items that are otherwise prohibited pursuant to the Prohibited and Restricted Products Policy or any applicable law, including as may be amended from time to time.
   5. Upon receipt of a formal request from us, you are required to provide us any information and documents that we may reasonably request in order to verify the authenticity of products.
   6. We have a zero tolerance approach to counterfeit products and any attempt to sell counterfeit products on the marketplace, or other breaches of our Anti- Counterfeit Policy may result in penalty (ies) as specified in the Seller Penalty Policy which include financial penalties, permanently prohibiting you from using the marketplace, and potentially in instituting legal proceedings against you.

PRICING

1. 1. All prices of products shall be stated inclusive of VAT and any other tax applicable to the transaction and in the currency of the territory.
   2. You are solely responsible for setting the price of your products on the marketplace, which may only be amended by you through the Seller Centre from time to time, including for the purpose of any seasonal or other discounts.
   3. Your products pricing must comply with all applicable laws, including competition laws.
   4. You will properly be advised by Vixstores, (but not obligated to implement) when and where it will be necessary to initiate discounts for the purpose of boosting seasonal sales.

FULFILMENT, PACKAGING AND DELIVERY

1. 1. Upon receipt of sales confirmation from Vixstores, you are to:
      i. Process the order by making it available, packing and labeling the product(s), all the while, conforming to our Packaging Guidelines.
      ii. You are to deliver the products to our drop off points or pick up agent if available in accordance with the timelines, operating hours and procedures specified in the Delivery Guidelines; however, in the event where delivery by consignment apply, on your request or automatically, we approve in writing, delivery shall be managed in accordance with VIX-XPRESS guidelines.
   2. Vixstores is at liberty to inspect any or all products we receive and we reserve the right to return to you any product that doesn’t meet the packaging requirements set out in the Packaging Guidelines or that fails our quality control checks or any other product requirements.
   3. You shall retain title to and ownership of the products until when they are paid for in full by the buyer to Vixstores and delivered to the buyer, from where ownership of the products shall be transferred to the buyer. Vixstores shall never at any point assume any product ownership or/and title.
   4. We shall bear the risk of loss or damage to the products upon receipt and until delivery to the buyer. Our liability to you for your product(s) in our possession shall be limited only to the cost price of the product(s) and shall be subject to further limitations and exclusions on liability provided in the general terms and conditions.
   5. Without prejudice to all our rights, you may be charged penalties in respect of breaches of the Packaging or Delivery Guidelines to whatever extent stated in the Seller Penalty Policy.

VALUE ADDED SERVICES

1. 1. Before subscribing for any value added services you may be required to expressly agree to additional terms and conditions in respect of same. All value added services shall be governed by any such additional terms and conditions, together with these seller terms and conditions, the Vixstores codes, policies and guidelines referenced herein and the general terms and conditions.
   2. You may subscribe through the Seller Centre for value added services which may be available from time to time, including but not limited to: warehousing and fulfillment services, marketing and promotional services, and other professional/expertise services as provided by VIX-XPRESS Guidelines.
   3. Our liability to you in respect of the value added services shall be subject to the limitations and exclusions on liability provided in the general terms and conditions.

COMMISSION AND FEES

1. 1. You shall be charged commission in respect of each sale made on the marketplace and fees in respect of all marketplace services and any value added services, as will be further stated in the commissions and fees page of Seller Centre or the relevant value added service agreement.
   2. In the event that sale is not completed resulting from any fault of yours, we reserve the right to charge commissions and/or fees, by way of consideration for the costs of our services rendered.
   3. In cases of promotion funded by us, commission may be calculated based on the selling price, being the price set by the vendor at the time of the order.
   4. Commissions and/or fees may vary from time to time, on prior notice to you, and by updating the commissions and fees page of Seller Centre. In the event of this, you are not liable to pay commissions and/or fees that accrued before the new rates are posted for services that have previously been paid for.

VAT AND OTHER TAXES

The seller acknowledges that:

1. 1. All amounts stated on the marketplace are stated inclusive of VAT and any other taxes applicable to the ensuing transaction.
   2. Commissions shall be calculated as a percentage of the selling price (being the price set by the vendor at the time of the order) inclusive of VAT and any other taxes legally charged to the buyer.
   3. In the event of any upwards revision in the rate of VAT or any other applicable taxes by government, commissions shall be automatically adjusted to ensure that our net revenue remains unaffected. You may, at your discretion, revise prices accordingly to protect your revenue against any such VAT and/or other taxes adjustment.
   4. The seller shall be exclusively liable for all taxes applicable to the transactions entered into on the marketplace with buyers, including VAT, and shall therefore be responsible f or the reporting, filing and payment of the same.
   5. Should any transaction consists of the importation of products for delivery to the buyer and if such transactions results in the recognition of a permanent establishment for the seller, the seller shall be responsible for complying with its tax obligations in the territory where it has created a current or future tax nexus. The seller understands and acknowledges that consignment fulfillment may create tax nexus.
   6. Should a competent tax authority determine that Vixstores is liable for payment of any taxes (including stamp, excise or customs duties) in respect of the transactions, notably pursuant to other sections of the VAT and other taxes above, you hereby indemnify and hold harmless Vixstores in respect of the same when we make deductions to payments processed by us on your behalf and remit such deducted amounts to the relevant government or tax authority.
   7. Upon receipt of a written request from us, you must promptly supply to us any information and/or documents that we may reasonably request in order to indemnify you or facilitate our compliance with our legal obligations relating to the taxation of payments made to us or by us; such information and/or documents may be supplied to relevant government and tax authorities.

REMITTANCES

You acknowledge and agree that:

1. 1. Vixstores shall collect payments from buyers in respect of each product purchased from the marketplace.
   2. Vixstores shall deduct from the payments collected, our commissions and, as may be applicable, any fees, charges, taxes, penalties, refunds and any other amounts that you owe to us in respect of any business whatsoever.
   3. We shall remit the proceeds of sale of the products to you after all deductions pursuant to section other sections of our remittance guidelines and such remittance shall be in the currency of the marketplace territory and using such payment mechanism as we may agree or notify to you from time to time.
   4. You shall be entirely responsible for ensuring that the account details that you upload to the Seller Centre are accurate and up to date, and that the account is secure. Vixstores shall not be liable for any loss or damage to you that may result from fraud or error in respect of your account.
   5. Evidences of payments to your nominated account shall constitute conclusive evidence of payment and receipt.
   6. We shall provide you with an account statement, via the Seller Center, which shall include details of all proceeds of sale of the products, deductions and remittances.
   7. We may at any time offset your indebtedness to us with our indebtedness to you, only to amount both parties indebtedness can cover; should this ever happen, we shall send you a written notice of the setoff. Set- off may be effected across your Seller Centre accounts if you operate more than one account. The account statement in the Seller Centre(s) shall serve as such notice of setoff.
   8. If eventually we hold insufficient funds on your behalf for payment of any amounts that you owe us, your account is in debit and: you shall pay the amounts you owe to us by such payment method as we may request; and should we hold any of your products that have not been sold or that have been returned, we may dispose of such products and apply all proceeds of sale to discharge any amounts that you owe us.
   9. In the event of investigation of a potential fraud or other breaches of this agreement on you, we are at liberty to delay or suspend payment to you pending the outcome of any such investigations.
   10. Should you dispute any transaction or statement of account, you must report such dispute to Vixstores within thirty (30) working days of the date of the relevant transaction, failure of which such claim shall be deemed to be over due and waived.

RETURNS AND REFUNDS

1. 1. Vixstores shall mange returns of products by buyers and acceptance of returned products by sellers in line with the returns policy and guidelines as may be amended from time to time.
   2. When a buyer becomes unavailable to receive a product within our stipulated delivery time, the seller shall accept the product in utmost good faith and shall not receive any financial benefits for it.
   3. Should it be proven fair enough that a wrong or damaged product was sent out by the seller, they are to without any benefit take back such product and may be subject to disciplinary measures as stated in our seller policy and guidelines.
   4. We shall accept returns at our discretion, and it must be subject to compliance with applicable laws of the territory of operation.
   5. Vixstores shall manage returns of money such as product price, local and/or international shipping fees, by way of store credits, wallet refunds, vouchers, mobile money transfer, bank transfers or such other method as we may determine from time to time.
   6. Products that are returned shall be accepted and refunds issued by Vixstores for and on behalf of the seller.
   7. Changes to our returns and refunds policy shall be effective in respect of all purchases made from the date of publication of any such change on our website.

BREACHES OF SELLER TERMS AND CONDIT IONS

If we reasonably determine that you have breached these seller terms and conditions, our general terms and conditions, or any of Vixstores codes, policies or guidelines, we may inform you of our displeasure through any/or the combination of any of the following means:

   3. Completely close down, suspend, prohibit or block your access to our marketplace as provided in the general terms and conditions.
   4. Institute legal proceedings against you, in accordance with stipulations for any such breaches.
   5. The penalty sum for breaches may be updated from time to time by updating the Seller Penalty Policy; however, this will in no way affect any liability to pay penalties that accrue before the new amounts are updated and posted.
   6. The same consequences in ii of Breaches of Seller Terms and Conditions shall also apply in events where:

• • you fail to meet a minimum level of operational performance that provides satisfactory buyer experience on the marketplace.

• • You receive negative ratings and reviews.

INSURANCE

You shall at all times maintain in force a policy of insurance with an appropriate level of coverage in respect of your liabilities under the agreement.

CONFIDENTIALITY AND DATA PRIVACY

1. 1. All information and documents related to the conduct of business pursuant to the general terms and conditions including information relating to business methods, sales, procedures and policies are strictly confidential unless it is already in the public domain by no fault or effort of yours. You shall not use Vixstores confidential information for any purpose other than to perform your obligations under this Agreement; most importantly, you shall not at any time, disclose Vixstores confidential information without giving us prior notice and obtaining written consent.
   2. You are not permitted at anytime whatsoever to send advertising or promotional communications to buyers on the marketplace without Vixstores prior written consent.
   3. You shall be fully and directly responsible to marketplace users for any misuse of their personal data we may grant you access to for the purpose conducting business as may be necessary from time to time.
   4. Should we ever be sued, fined, or otherwise incur expenses as a result of the seller’s handling of personal data obtained through the marketplace, Vixstores shall be indemnified by the seller in respect of the same.

MISCELLANEOUS

• • These seller terms and conditions are subject to the general terms and conditions and shall be governed by and construed in accordance with the laws of the territory.
  • You shall be requested for your express agreement to any revisions of these seller terms and conditions and the general terms and conditions within such period as we may specify; and should you not give your express agreement to the revised versions within such period as we may specify, your silence shall be deemed to you consenting. Should you expressly reject any such revisions you may be deemed by us to have terminated the agreement and we may disable or delete your account on the marketplace.
  • For sellers operating across multiple marketplaces operated by Vixstores affiliates, all transaction shall be subject to the governing laws and jurisdiction of the territory of the marketplace on which the transactions took place.
  • Vixstores codes, policies and guidelines, these seller terms and conditions and, the general terms and conditions, shall constitute the entire agreement between you and us in relation to your use of our marketplace and shall supersede all previous agreements between you and us in relation to your use of our marketplace.

As a minor if you wish to use or transact on Vixstores.com.ng, such use or transaction may be made by your legal guardian or parents who have registered as users of Vixstores.com.ng. Vixstores.com.ng reserves the right to terminate your membership and refuse to provide you with access to Vixstores.com.ng if it is brought to Vixstores.com.ng’s notice or if it is discovered that you are under the age of 18 years.

MEMBERSHIP OBLIGATIONS

If you use Vixstores.com.ng, you shall be responsible for maintaining the confidentiality of your User ID and Password and you shall be responsible for all activities that occur under your User ID and Password. You agree that if you provide any information that is untrue, inaccurate, not current or incomplete that Vixstores.com.ng has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with this Terms of Use, Vixstores.com.ng has the right to indefinitely suspend or terminate or block access of your membership with Vixstores.com.ng and refuse to provide you with access to the Website.

Vixstores.com.ng is committed to protecting the privacy and security of all personal and/or sensitive information (the “Personal Data”) related to its employees, customers, business partners, suppliers, contractors, and whichever party the company is and will be engaged with. Collection of Mobile Number and Email Address

When you sign up with us, we collect your mobile number and email address to uniquely identify you. This helps us to prevent identity theft.

Collection of Location

We collect and upload location information from your device to reduce the risk of your account. We will store your location information in our system database.

Storage

The Wallet (“Wallet”) is a pre-paid payment instrument which is associated with your Vixstores.com.ng account. You can maintain a balance of money with Vixstores.com.ng and redeem it at your convenience.

Vixstores.com.ng will not pay any interest on the amount maintained by you in your Wallet.

Refill of Wallet: Your Wallet can be refilled, using any of the pre-paid payment options only. You will be able to recharge your Wallet up to an amount of N1,000,000 in one instance. There is no need to maintain a minimum balance.

Refund of Wallet Amount: Your wallet comprises of three types of balances – Store credit (which is a credit granted by Vixstores.com.ng typically in lieu of a cancelled order), Topped-up balance (which is a prepaid amount that you added to wallet to pay for future orders on Vixstores.com.ng) and Promotional balance (which is credit granted by Vixstores.com.ng purely for promotional or goodwill purposes). Topped-up balance (prepaid amount) as well as the Promotional balance added to the Wallet will be non-refundable While Store credit will continue to be entirely refundable.

Limitations and Exclusions: In no event will Vixstores.com.ng be liable for any special, incidental, indirect or consequential damages or losses of any kind, arising from the use of Wallet or association with the Wallet.

This Agreement shall be governed by and interpreted and construed in accordance with the laws of The Federal Republic of Nigeria. The place of jurisdiction shall be exclusively in Cross River State, Nigeria.

PRICING/TYPOGRAPHICAL ERROR

If Vixstores.com.ng comes across any difference in pricing resulting from typographic errors with regards to pricing or product information, Vixstores.com.ng shall have the right to rectify the same or cancel the order(s) and refund monies, if any, collected from the customer within 10-15 business days of such corrective action taken. The mode of refund will be the same as at the time of placing the order. Cash on Delivery order refunds will be done by cheque.

However, Vixstores.com.ng does not warrant that product description or other content of this site is accurate, complete, reliable, current, or error-free. If a product offered by Vixstores.com.ng itself is not as described, your sole remedy is to return it in unused condition.

RISK OF LOSS

All items purchased from Vixstores.com.ng are made pursuant to a shipment contract. This means that the Risk of Loss shall remain with Vixstores.com.ng until the item is transferred to you. In the event that the items are damaged after receipt, the risk falls on the customer.

CANCELLATION OF ORDERS

Vixstores.com.ng reserves the right to cancel any order without any explanation for doing so, under situation where Vixstores.com.ng is not able to meet the requirement of the order placed or order so placed/cancelled does not comply with the Vixstores.com.ng policy or for any reason. However, Vixstores.com.ng will ensure that any communication of cancellation of an order is intimated within appropriate time to the concerned person and any applicable refunds, will be made in reasonable time.

RETURNS AND REFUNDS

8. 8. Vixstores shall mange returns of products by buyers and acceptance of returned products by sellers in line with the returns policy and guidelines as may be amended from time to time.
   9. When a buyer becomes unavailable to receive a product within our stipulated delivery time, the seller shall accept the product in utmost good faith and shall not receive any financial benefits for it.
   10. Should it be proven fair enough that a wrong or damaged product was sent out by the seller, they are to without any benefit take back such product and may be subject to disciplinary measures as stated in our seller policy and guidelines.
   11. We shall accept returns at our discretion, and it must be subject to compliance with applicable laws of the territory of operation.
   12. Vixstores shall manage returns of money such as product price, local and/or international shipping fees, by way of store credits, wallet refunds, vouchers, mobile money transfer, bank transfers or such other method as we may determine from time to time.
   13. Products that are returned shall be accepted and refunds issued by Vixstores for and on behalf of the seller.
   14. Changes to our returns and refunds policy shall be effective in respect of all purchases made from the date of publication of any such change on our website.

LIMITATION/EXCLUSION OF LIABILITY

IN NO EVENT SHALL Vixstores.com.ng BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES OF ANY KIND IN CONNECTION WITH THIS AGREEMENT, EVEN IF Vixstores.com.ng HAS BEEN INFORMED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES.
